Bylaws

North Beach Community Improvement Association
(NBCIA)Article 1 - Name
The name of the organization shall be North Beach Community Improvement Association. (NBCIA)Article 2 - Purpose
The purpose of the organization shall be as follows:
A) To support the beautification, cleanup and general improvement of the North Beach area.
B) The North Beach area shall be considered the beach area including Ocean Shores, Hogan's Corner, Fire District 7 (Copalis Beach), Fire District 16 (The Crossing), Fire District 8 (Pacific Beach) and Moclips.
C) To be an advocate for the North Beach by focusing attention on the needs of the area.
D) Said organization is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 ( c ) (3) of the internal revenue code, or (b) by an organization, contributions to which are deductible under section 170 ( c ) ( 2 ) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501 ( c ) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine which are organized and operated exclusively for such purposes.Article 3 - Membership
A) Membership in this organization shall be open to all individuals whose views are in harmony with NBCIA.
B) Dues structure shall be proposed by the Board and voted on for approval by the membership.
C) A member is anyone who has paid the dues for the current year.
D) Each member shall be entitled to one vote.
E) Dues shall be $12.00 per member per year, with a maximum of $20.00 for a household. Households that choose a $20.00 option shall have a maximum of two votes.Article 4 - Officers
A) The officers of this organization shall be President, Vice President, Treasurer, and Secretary. The officers, together with three elected at large members, shall constitute the Executive Board.Article 5 - Duties of Officers
A) The President shall preside over and conduct meetings. The President shall appoint committees and serve as an ex-officio member on any committee, excluding the Nominating Committee. The President shall prepare an agenda for each meeting. The agenda shall be posted in a place accessible to the membership and a copy shall be filed in the organization’s permanent file.
B) The Vice President shall perform the duties of the President when the President is absent.
C) The Treasurer shall prepare a yearly budget, maintain bank accounts and financial records and report to the membership on the financial status of the organization. A copy of the Treasurer’s records and reports shall be filed in the organization’s permanent file and copies shall be accessible to the membership upon request.
D) The Secretary shall record attendance and take minutes at all meetings. A copy of these records shall be filed in the organization’s permanent file and copies shall be accessible to the membership upon request. The Secretary shall be responsible for the organization’s permanent file.Article 6 - Terms of Office
A) Officers shall serve one year.
B) At large members shall serve one year.
C) The Executive Board shall fill vacancies.
D) Vacancies occur when an officer resigns or is unable to function.
E) The election of officers and members at large shall be held at the May general membership meeting.Article 7 - Meetings
A) General membership meetings shall be held quarterly in August, November, February and May.
B) The place and time of the meetings shall be determined by a vote of the membership.
C) A Special Meeting may be called by the Executive Board or requested by members.
D) A quorum at a General Membership or Special meeting shall be 10 members.Article 8 - Executive Board
A) The Executive Board shall recommend adoption of policies and procedures for approval by the membership.
B) The Executive Board is authorized to $250.00. Any amount over that will need a vote of the membership.Article 9 - Policies
A) General policies and procedures of the organization may be adopted by the vote of the general membership.
B) Adopted policies shall be committed to in writing, filed in the organization’s permanent file and copies shall be accessible to the membership upon request.
C) The membership shall adopt policies concerning the duration of the fiscal year, the amount of the yearly dues, the audit of the Treasurer’s records and other matters as deemed necessary.Article 10 - Committees
Committees may be formed by a vote of the membership or by the Executive Board. The President may appoint members of Committees.Article 11 - Amendments of the Bylaws
The Bylaws may be amended by a vote of the membership, provided that the proposed amendment was presented at the previous General Membership meeting.
